By accessing or using Contentaxle's website and platform (the "Services"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are using the Services on behalf of a company, you represent that you have authority to bind that company to these Terms.

2. Description of Service

Contentaxle provides an AI-powered content generation platform designed for B2B marketing teams. The platform includes Brand Voice Engine training, Campaign Content Planner, Multi-Format Output Studio, SEO Enrichment Pass, Compliance Guardrails, and Revision Audit Trail features, as described on our product pages.

3. Account Registration

To access the platform, you must create an account with accurate information. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately at [email protected] if you suspect unauthorized access.

4. Acceptable Use

You agree not to use the Services to:

• Generate content that infringes third-party intellectual property rights.
• Produce deceptive, defamatory, or fraudulent content.
• Circumvent rate limits, security measures, or access controls.
• Reverse engineer, decompile, or extract model weights from the platform.
• Resell or sublicense access to the Services without our written permission.

5. Intellectual Property

5.1 Your Content

You retain ownership of all content you upload to train your brand voice model and all content you generate through the platform. By uploading content, you grant Contentaxle a limited license to process that content solely to provide the Services to you.

5.2 Our Platform

Contentaxle retains all rights to the platform, technology, user interface, and documentation. These Terms do not grant you any ownership rights in the platform.

6. Payment and Billing

Subscription fees are billed in advance on a monthly or annual basis as selected at checkout. All fees are non-refundable except as required by law or as stated in our refund policy. We may update pricing with 30 days' notice to current subscribers.

7. Confidentiality

Each party agrees to maintain the confidentiality of the other party's non-public information disclosed in connection with the Services. Contentaxle will not disclose your brand corpus or generated content to third parties except as required to provide the Services or by law.

8. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind. We do not warrant that the Services will be error-free, uninterrupted, or that generated content will be accurate, complete, or legally compliant for your specific use. You are responsible for reviewing all generated content before publication.

9. Limitation of Liability

To the maximum extent permitted by law, Contentaxle's liability for any claim arising from these Terms or use of the Services will not exceed the fees you paid in the 12 months preceding the claim. We will not be liable for indirect, incidental, or consequential damages.

10. Termination

Either party may terminate the agreement with 30 days' written notice. We may suspend or terminate your account immediately for material breach of these Terms. Upon termination, your access to the platform ceases and we will retain your data for 30 days before deletion (unless a longer period is required by law).

11. Governing Law

These Terms are governed by the laws of the State of New York, USA, without regard to conflict of law provisions. Disputes will be resolved in the courts of New York County, New York.

12. Changes to Terms

We may update these Terms. We will notify registered users by email of material changes at least 14 days before they take effect. Continued use after that date constitutes acceptance.
